PARKING

SUBSTRUCTURE
The reinforced concrete system consists of twelve (12) footings ranging from 3’ to 6’3” and depths ranging from 1’ to 1’4” and are set on peers that range from 10’ x 10’ to 12’ x 12’. SUPERSTRUCTURE
The building is generally rectangular. The building superstructure is designed as a structural steel and block interior frame, with the perimeter as block-between-steel with brick masonry façade. The roof system is supported by a structural steel and steel joist system.

WINDOWS

DOORS/ENTRYWAYS
The main entrance is equipped with a 3’ x 8’ double-entry door with 3/8” thick heat-strengthened monolithic glass set in storefront frames. In addition, there are two (2) other sets of 5’ x 7’ double-entry doors with automated opening/closing mechanisms located in the loading dock areas. The main entry area features a terrazzo flooring with a 12’2” hardsurface ceiling and an 8.5’ x 23’ security station.
 
ROOF
Installed in 2000, the main roofing system is a “built-up” roof with gravel surfacing over an asphalt membrane hot mopped over 4-ply fiberglass felt. The roof system is supported by a non-asbestos Tectum deck with a base sheet and rosin paper, insulated by .5” – 1.5” of fiberboard/polyisocyanurate insulation that is partially mopped for adherence. In addition to the main roof system, the 1,008 SF loading area overhang is fitted with a single-ply smooth surface membrane installed in 2006 and attached with mechanical fasteners over a metal deck.
 
INTERIOR LIGHTING
The building standard lay-in lighting fixtures are 277 volt, 2’ x 4’ lamp settings with T-5 bulbs. Two-stage lighting is present throughout the vast majority of the building with 50% to 100% lumens depending on the combination of switches or sensor settings.
 
FLOORING
Carpet, with vinyl base. Vinyl composition tile ("VCT") in special areas. Terrazzo at main entry. 24" x 24" panel 16" high access flooring within the data areas.
 
RESTROOMS
The restrooms are equipped with Sloan flush valves with Kohler toilets and urinals. The finishes include ceramic tile floors and base with synthetic solid-surface countertops and 4" backsplash with stainless steel sinks and manual faucets. The ceiling is 2’ x 2’ acoustical tiles with surface-mounted
4’ indirect T-5 light fixtures (surrounding mirrors) and recessed lighting.
 
HVAC
Air Conditioning - The building has an air-conditioning mechanical penthouse consisting of two (2) 250-ton Trane centrifugal-type Chillers with two (2) 250-ton Marley stainless-steel cooling towers. The chill-water loop is sent throughout the building to the rooftop air handlers and individually sourced to eleven (11) fan-powered VAV air terminals as well as four (4) blower-coil units (“BCU”) and
nine (9) fan-coil units (“FCU”).
Heating - Factory-installed heat-reclaiming bundle on the chillers to heat the water and then reclaims heat from the condenser water. There is also a 100 kW immersion heater to keep a continuous load on the chiller. Hot water is supplied to the heating coils and then distributed to VAV, BCU and FCU boxes throughout the building.
 
VENTILATION
There are fresh-air economizers linked to CO2 sensors situated on each of three (3) air handler units within the building to provide makeup fresh air throughout as required.
 
ASBESTOS
A February 26, 2007 Asbestos study revealed the presence of Asbestos containing materials (ACMs) in the building. A November 26, 2007 Asbestos Abatement Report documented the removal of asbestos, although some ACM remains in the basement and 1st floor vault area. Please refer to the Documents section for the complete reports.
 
ELEVATOR SYSTEM
The building contains one (1) single-stage hydraulic freight elevator manufactured by Thyssen-Krupp with an approximate load capacity of 4,000 lbs.
 
ELECTRICAL
Electrical power is provided through a 1,200 amp single-power feeder at the rear of the building to one (1) pad-mounted 1,000 KVA transformer. A backup feed is also provided from an 800 kW Caterpillar diesel full-building generator (with a total available on-site fuel capacity of 4,500 gallons) which is equipped with a Caterpillar automatic transfer switch. The 277/480 Volt, three-phase power services the entire facility through the main switchgear room at the rear area of the building near the loading dock.
The main switchgear and all distribution panels and transformers are manufactured by Square D & General Electric.
 
EMERGENCY POWER
Generator - An 800 kW Caterpillar full-building diesel-powered emergency generator with 1,500-gallon belly tank is located exterior to the building within close proximity to the loading dock and main switchgear room. In addition, a 3,000-gallon welded above-ground steel fuel tank is installed to provide further fuel capacity. The generator has an estimated capability of providing full power to the building for approximately six (6) days without interruption.
UPS System - Power to critical equipment is provided through a single 160 KVA UPS Module, (EATON Powerware). The battery backup is designed to provide 600 amps of power for approximately 60 minutes which may vary and be increased based on load demand.
 
FIRE ALARM SYSTEM
The building contains a Honeywell fire alarm system, with a fire alarm control panel located in the security room off of the main hallway from the lobby. System hard-wired devices include duct detectors and single-mounted smoke detectors. The building is currently rated for 299 occupants and a fire suppression system is not required.
 
STORM WATER
The parking areas are sloped to direct surface runoff to city storm water drainage systems. Roof drainage is routed to interior drains and leaders, which connect to approximately fourteen (14) underground 4" cast-iron pipes discharging to the city storm water drainage system.
 
WATER
Domestic water service is provided by one (1) 2” feed from the existing water main in the front of the building, which utilizes water from the City of Jackson’s supplies. The domestic water service is connected to the various plumbing and mechanical fixtures and equipment by copper tubing. Electric drinking fountains, including a handicapped accessible unit, are provided at the main hallway near the restrooms. Domestic hot water is provided by an electric 80-gallon hot water heater located in the janitorial closet near the main restrooms of the building. The main breakroom has a 20-gallon water heater above the ceiling and the secondary breakroom utilizes an instant under-counter water heater.
 
SANITARY
Sanitary sewage exits the building via a 6" gravity lateral connecting to an existing sanitary main to Frontage Road. The gravity system contains cast iron sanitary waste piping and PVC vent piping which is connected to each plumbing fixture and ties into cast-iron collector piping below grade which directs flows to a lateral exiting the building to the front.
 
TAXES
The asset consists of 3 tax parcels. The main parcel is 511-636 with frontage on the I-55 frontage road and Edgewood Terrace. It improved with the building and a large parking area. In addition, there are two smaller tracts, 530-650 and 530-652, which provide access to McWillie Circle and additional parking, as well as a treed area.

Purchasers of large equipment and large quantities of items must contact us to schedule pick up. All items offered for sale at the Auction ("Items", "Property", "Product", "Purchases") are offered by Auction Management Corporation ("Auctioneer"), as Seller's agent, subject to the following Terms and Conditions of Sale, which, combined with any specific terms as posted in materials and on the web, make up the Complete Terms and Conditions of Sale.

Extension Feature: This auction features a grouped bid extension. This feature will leave the bidding open for any item that has received a bid within the last 5 minutes from the last recorded bid time, even if the ending time has been reached. This feature has been added to eliminate sniping and to make the online bidding process more like a 'live' auction.

The auction will start to close at 2:00 PM.

Buyer’s Premium: A 15% Buyer’s premium will be added to the winning bid of each item purchased.

Payment: Payment may be made by cash or credit card ($2,000 limit for all credit card purchases; 3% additional processing fee applied to total balance due for all credit card transactions). Sales tax will be charged at the rate of 7% unless you can provide us with a copy of your current Resale Certificate for Sales Tax or an approved affidavit of out of state delivery upon checkout. IRS Form 8300 must be completed at checkout for all cash purchases totaling $10,000 or more. Sales Tax: Auctioneer shall collect and Buyer shall pay all sales tax, 7% for this auction, which will be added to the Purchase Price (Winning Bid plus Buyer’s Premium), on all purchased items. PRIOR TO THE CLOSE OF THE AUCTION, dealers who purchase for resale must fax to Auctioneer a copy their Sales Tax Certificate and complete a resale certificate (GA- ST-5 Form), without which Auctioneer will charge all applicable taxes. Email scanned copies of these documents to info@AMCbid.com or bring them to be copied at time of payment and pickup.

Bidding: All bids must be submitted using the online bidding system. Buyer is responsible to confirm their bids for accuracy. Selecting the Review Bids function at any time may do this. Bidders will receive outbid notifications via email up until the last day of the auction, after which time you must log in to the bidding site to confirm your bids. Auctioneer is providing Internet bidding as a service to Buyer using a Third Party Bidding System. This means 1 item per minute will close in numerical order and that bids received in the final minutes before an item’s scheduled close time will extend the bidding an additional 5 minutes on that item. Auctioneer reserves the right to add to, group, withdraw or re-catalog items in this auction, as well as adjust minimum bids and/or reserve prices and extend or shorten closing times.

Representations: All items are being sold As-Is with no warranty. Auctioneer shall not be responsible for the correct description, authenticity, genuineness of or defect in any lot, and makes no warranty in connection therewith. On-site inspection of items being sold is recommended. Auctioneer makes every effort to provide accurate information about the items being sold. However, neither Auctioneer nor its Client will assume responsibility for Buyer’s bidding errors. It is Buyer’s full responsibility to confirm the accuracy of items offered for sale. Buyers are recommended to inspect all items. Descriptions and photos are offered as a guide only. Do not rely solely on photos to make buying decisions, be sure to read descriptions. Auctioneer shall not be held responsible for such errors as posting the wrong photo for an item. When in doubt about the condition of an item, please bid accordingly.

All Sales Final: A successful bid at auction, whether live or online, constitutes a legally binding contract of sale. All sales are final. There will be no refunds, returns or exchanges.

Removal: Buyer is solely responsible to remove purchases within the time frames posted. All purchases must be paid in full before items will be released from the premises. Buyer must provide his or her own materials and packing supplies. Buyer must provide invoice and I.D. at time of pickup. If a third party rigging company is employed to remove items which cannot be hand carried or removed with a hand truck by Buyer, a Certificate of Insurance will be required.

Failure to Remove Purchases: In the event items are not removed in the time frames allotted, the items purchased shall be deemed abandoned and Buyer will lose any right, title or interest Buyer may have acquired and the items shall revert and repossess to Auctioneer without further notice to Buyer. Auctioneer shall also be entitled to any costs associated with the removal, storage and reselling of Buyer's items, and any other charges, fees, and expenses incurred as a result of Buyer's failure, including all attorney fees and costs incurred by Auctioneer to enforce Buyer’s obligations hereunder.

Failure to Pay: In the event Buyer fails to pay the entire purchase price by the payment deadline, the items purchased shall be deemed abandoned and Buyer will lose any right, title or interest Buyer may have acquired and the items shall revert and repossess to Auctioneer without further notice to Buyer. In addition, Buyer may be prohibited from participating in future auctions.

Non-Delivery: Until such time as purchased items are removed from the premises by the Buyer, Auctioneer shall have the right to cancel or void the sale of any such items purchased by Buyer. Auctioneer shall have no liability to Buyer due to the non-delivery of any purchased item other than the return of Buyer’s payment. No claim of any kind for purchased items, whether or not based on negligence, shall be greater in amount than the purchase price paid by Buyer.

Absence of Warranties: The condition of the items being offered varies.

The Buyer understands and agrees:
(1) any description or sample of the items given or furnished by Auctioneer is solely for identification, and does not create any warranty expressed or implied, that the item actually conforms to such description or sample

(2) Buyer or agent on Buyer’s behalf has inspected or has had the opportunity to inspect all of the items upon which Buyer will be bidding and/or does purchase

(3) all items are purchased and accepted by Buyer “AS IS”, “WHERE IS” and “WITH ALL FAULTS”. AUCTIONEER MAKES NO WARRANTIES OR GUARANTEES WHATSOEVER WHETHER WRITTEN, ORAL OR IMPLIED AS TO QUALITY, AUTHENTICITY, QUANTITY, CONDITION, USEABILITY, SALEABILITY, WEIGHT, MEASUREMENT, YEAR, MODEL, MECHANICAL CONDITION, PERFORMANCE, OR OTHER SPECIFICATIONS, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR WARRANTY AGAINST PATENT, TRADEMARK, COPYRIGHT OR TRADE SECRET INFRINGEMENT

(4) in the event there are manufacturer warranties in effect for the item purchased, Buyer must make all claims thereunder directly with the provider of the warranty. No statement or statements of any other paragraph herein shall be construed to in any way contradict the provisions of this paragraph.

Acts of Others: Persons in attendance during inspection, sale or removal of merchandise assume all risks of damage or loss to persons, property, or merchandise and shall exercise proper precautions at all times for the protection of persons and property and shall comply with all safety and health requirements as directed by Auctioneer, and local, state and federal regulations. Neither Auctioneer, its agents, its employees or representatives shall be liable by reason of any defect in or about the condition of the premises on which the auction is held. Buyer specifically releases Auctioneer, its agents and representatives from all liability thereof.

Limits of Liability: In no event shall Auctioneer’s liability to a Buyer exceed the purchase price actually paid for an individual item or lot. A Buyer’s claim shall be limited to the amount paid for the merchandise, and shall not extend to any obligation, risk, liability, right, claim, remedy for loss of use, revenue or profit, liability of Buyer to any third party, personal injury, or any other direct, indirect, incidental or consequential damages. Buyer further acknowledges that each item it purchases at the sale represents a separate transaction, and that no one transaction shall be conditioned upon another transaction. Buyer hereby holds Auctioneer harmless from: (1) the acts or omission of any party who provided any items to Auctioneer for sale, (2) the acts or omission of the owner or Lessor of the auction site or the site where the auctioned items are stored, (3) any claims Buyer may have against Auctioneer, Auctioneer’s client(s) or any former owner of the property being sold, (4) Buyer’s failure in any way to properly inspect items and/or fulfill its obligations per the terms and conditions of the sale, as indicated within this document or as announced by the Auctioneer at the time of sale. Auctioneer is providing Internet bidding as a service to Buyer using a 3rd Party Bidding System. Indemnification: Buyer shall indemnify, hold harmless and defend Auctioneer, owners and building owners from and against any and all losses, damages, liabilities and claims, including attorney fees, costs and expenses arising out of based upon or resulting from:

(1) failure to secure all safety equipment and to meet all applicable government safety standards in removing items purchased or used by Buyer

(2) failure to comply with safety instructions issued to Buyer from Auctioneer

(3) any act or omission of Auctioneer, owners, building owners or their respective agents, representatives or employees, relating to or affecting the items bid on or purchased by Buyer

(4) the claim of any third party claiming or challenging title to any items purchased by Buyer or claiming infringement of any proprietary interest

(5) the claim of any person resulting from Auctioneer offering for sale or selling the items purchased by Buyer

(6) any injury to Buyer or any other person or property of any type whatsoever caused during the inspection, dismantling, removing or transporting of items purchased by Buyer.

The property is just north of the Pep Boys automotive facility at the NW corner of Covington Highway and South Hairston Road. It was formerly Kennedi’s restaurant, and the sign for Kennedi’s is still at the east end of the site on S Hairston. Because the frontage of the site is a steep embankment and the majority of the site is well above S Hairston, access to the site is through the north access drive into the Pep Boys facility via an easement across the Pep Boys site. In addition, a 1997 deed between predecessor owners appears to grant an easement through the southern paved portion of the site to a lot behind the site presently owned by the former owner of the auction property. The former owner has parked a number of vehicles on the rear portion of the tract, along with some debris at the SW corner. The 2015 survey indicates the tract is 2.01 acres, but the tax records indicate it is only 1.25 acres. GROUPED EXTENSION FEATURE: This auction features a grouped bid extension. Each item will sell individually as a "lot,” but all lots are tied together by the auction clock. Once we get within 5 minutes of the bid deadline, any bid placed on Any of the assets will extend All of the assets another 5 minutes. This extension will continue until no bids are placed on any of the assets in a five-minute window.
This feature is in place partially to prevent "sniping" which can occur on online auctions with a hard deadline. It recreates the action of a "live auction". If your opponent bids in the waning seconds of the auction, you still get another chance to bid.
With that in mind, don't wait out the bid until the last second, because the auction will remain open. Waiting it out can only put you at risk for not getting your bid in before the 5-minute clock runs out.
 
TERMS:  All items must be paid for in full via wire transfer only and within 48 hours after the auction closes. Wire transfer instructions will be provided to winning bidders.

AUCTION TERMS AND CONDITIONS
 
AUCTION REGISTRATION:
In order to register for the auction, you must have:
1) Pre-inspected the property and must confirm that you have done your own inspection prior to registration. The online registration form will need to be completed before online bidding is enabled.
2) You must provide proof of funds from your bank that you have sufficient funds to cover the required earnest money down payment in order to obtain a bid number. This may be accomplished by emailing to info@AMCbid.com at least 24 hours prior to the auction bid deadline. Fax number provided upon request. Proof of funds consists of a copy, fax, or original of a current bank statement in bidder’s name showing sufficient funds for 5% earnest money deposit. Alternative proof of funds verification subject to Seller approval.
3) You must submit a $50,000 Initial Bid Deposit in order to be allowed to bid. This may be accomplished by wiring the funds to our escrow account (wire instructions provided upon request) or overnighting the funds to our mailing address. The wire or overnighted funds must be received no later than 5:00 PM on Tuesday, October 30, as we cannot guarantee that transfers after that time will be verifiable. BIDDING REQUIREMENTS: All bids must be submitted on the Sealed Bid PSA form supplied in the Bidder’s Information Packet.  Any bid submitted that does not conform may be rejected at Seller’s option for the bid's non-conforming elements.  Any proposed modifications shall be submitted through Auctioneer. The deadline for a bidder's submission of proposed non-conforming modifications to the Agreement shall be four (4) business days prior to the auction bid deadline.  The Auctioneer will respond with the Seller’s acceptance or rejection of the proposed modification no later than two (2) business days prior to the auction bid deadline. EXHIBIT B AGREEMENT TO LEASE LETTER OF INTENT: The Sealed Bid PSA form, accessed by signing and returning this Agreement to be Bound by the Terms of the Sealed Bid Auction, contains an Exhibit B outlining the proposed terms of the lease in greater detail than the terms of the Sale/ Leaseback language in this document. If Exhibit B is checked (ie you wish to lease the building back), the Agreement to Lease letter must be signed and returned along with the completed and signed Sealed Bid PSA. If you intend to conform with the points identified in the Agreement to Lease LOI, you must check that choice. If you intend to submit a Lease Agreement with points that diverge from the Agreement to Lease LOI, you should check that choice, and identify the points upon which your Lease Agreement would differ.
 
SUBMISSION OF LEASE AGREEMENT: The top 3 acceptable bidders will be contacted by 5:00 PM on Thursday, November 1st.They will then be invited to prepare and submit a proposed Lease Agreement containing substantially the same terms as outlined in the Agreement to Lease Letter of Intent, attached as an Exhibit to the Sealed Bid PSA. The deadline for submission of Lease Agreement shall be Wednesday, November 7th at 5:00 PM.
 
CONSIDERATION PERIOD: The Consideration Period shall the time necessary for the Seller to review the submitted Lease Agreements, and shall be for five days, ending no later than Monday, November 12th at 5:00 PM. The Bid Deposits shall be held by Auction Management Corporation in escrow during the Consideration Period. BID CONSIDERATION: Bids will be given priority based on the following criteria:
1.    Highest purchase price.
2.    Bids that conform to the terms and conditions of the Agreement.
3.    Lease Agreements that conform to the Agreement to Lease Letter of Intent
 
No negotiations shall take place with parties other than the participants of the sealed bid program during the Consideration Period.  Seller will give favor to the highest bid, but reserves the right to accept a lower bid which conforms with the terms and conditions of the Lease Letter of Intent.  Seller reserves the right, in its sole and absolute discretion, to reject any and all bids which do not conform to the form PSA. If Winning Bid is acceptable to Seller and Purchaser chooses not to submit a Lease Agreement, Seller reserves the right to accept the offer.
 
LEASE NEGOTIATION PERIOD: In the event the Lease Agreement submitted by Winning Bidder (pursuant to Exhibit B of the Sealed Bid PSA) requires additional negotiation between Buyer and Seller (ie it either contains terms not addressed in Agreement to Lease or it does not conform to the terms specified in Agreement to Lease), the PSA provides for up to one week after November 12th  to negotiate lease terms acceptable to Buyer and Seller. If lease is not executed by November 20th, bid deposits will be returned unless the parties require additional time to negotiate.
 
BID AWARD: All bids are subject to Seller acceptance on or before conclusion of the Consideration Period and Lease Negotiation Period (if applicable).  Unless notified otherwise, Bids must remain irrevocable by the bidders during this time. All bidders will be notified of the Seller’s decision in writing, with notice delivered by email, facsimile, overnight carrier, personal delivery or certified mail. Failure to notify the bidder does not constitute acceptance by the Seller, but converts the bid to a revocable offer.
 
BID DEPOSITS RETURNED: Upon Seller acceptance of Sealed Bid PSA and Lease Agreement, unsuccessful bidders' bid deposits will be returned to them. You can either provide wiring instructions or we will overnight you a check.
 
DEPOSIT REQUIREMENT: Upon Seller acceptance of Sealed Bid PSA and Lease Agreement (if applicable),  the successful bidder (Purchaser) must deliver within one business day additional earnest money via wire transfer to Escrow and Closing Agent which together with Initial Bid Deposit shall increase the earnest money deposit to five (5%) of the Purchase Price (Bid Amount Plus Buyer’s Premium). The 13.4± acre property is a graded site with 1,346± feet frontage on the east side of I-95 right of way just south of the 63 Mile Marker and has been used as a fire truck sales yard. The improvements consist of a retail showroom visible at street level, with a repair/ office area below it, and a warehouse area and small storage building to the rear, on a 4± acre lot which slopes gently from the Highway 16 North frontage down toward the I-40 Right of Way behind the site.

Once we get within 5 minutes of that bid deadline, any bid placed on Any of the assets will extend All of the assets another 5 minutes. This extension will continue until no bids are placed on any of the assets in a five-minute window.
This feature is in place partially to prevent "sniping" which can occur on online auctions with a hard deadline. It recreates the action of a "Live Auction". If your opponent bids in the waning seconds of the auction, you still get another chance to bid.
With that in mind, don't wait out the bid until the last second, because the auction will remain open. Waiting it out can only put you at risk for not getting your bid in before the 5-minute clock runs out.
